Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and lead qualification automation services ("Services") provided by TACTICFLOW LLC ("TACTICFLOW", "we", "us", or "our"). By accessing the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and authorized to bind your business to enter into these Terms.

2. Services

TACTICFLOW provides lead qualification automation, scoring, CRM integration, and related workflow automation services. Specific deliverables, timelines, and pricing are set out in the applicable order form, statement of work, or invoice.

3. Fees and Payment

Fees are stated in U.S. dollars and are due according to the payment terms in your invoice (typically Net 30). Accepted methods include ACH, wire transfer, and online credit card payment. Late or unpaid invoices may result in suspension of Services after written notice.

4. Client Responsibilities

• Provide accurate information and timely access to systems and CRMs needed to deliver the Services.
• Maintain rights and lawful basis to process any lead or customer data shared with us.
• Comply with applicable laws, including telemarketing, anti-spam, and data protection laws.

5. Intellectual Property

We retain all rights to our proprietary tools, templates, methodologies, and pre-existing materials. Upon full payment, you own the automation maps, configurations, and deliverables created specifically for you, excluding our underlying IP. You grant us a limited license to use your data and trademarks solely to deliver the Services.

6. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information (and no less than reasonable care) and will use it only to perform under these Terms.

7. Warranties and Disclaimers

We will perform the Services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO TACTICFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate for material breach not cured within 15 days of written notice. Sections that by their nature should survive termination will survive (including IP, confidentiality, payment, and limitation of liability).

10. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Exclusive venue lies in the state or federal courts located in Genesee County, Michigan.

11. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
